1. Scope of the service
Kuba is a WhatsApp marketing automation platform for ecommerce, with automated flows, broadcasts, shared inbox, analytics, ecommerce integrations (Shopify, WooCommerce and others via dedicated setup) and optional AI features (Kuba Premium).
Services are provided via https://app.kubalabs.com and API https://api.kubalabs.com.
2. Account and requirements
The merchant must provide accurate data, keep credentials secure and have authority to connect ecommerce stores, WhatsApp Business numbers and Meta/Shopify accounts used.
Kuba may refuse or suspend accounts for false information, fraudulent use or breach of these Terms.
3. Free trial
Kuba may offer a free trial period (typically 7 days unless otherwise stated in the active offer). Duration, included messages, features and limits may vary.
After the trial, the account may move to a paid base plan or be suspended as communicated at activation.
4. Plans, billing and autoscale
Plans use tiers with autoscale based on usage metrics (e.g. automated messages, flow executions, revenue attributed to Kuba).
Orders may be attributed within a time window (e.g. 24 hours from a non-failed message) as described on the current pricing page.
Billing may be via Shopify Billing or Stripe. Renewal is automatic per plan cycle unless cancelled.
Each monthly cycle may restart from the base tier; threshold exceedances may trigger in-cycle differential charges per published commercial terms.
6. Integrations
Kuba integrates with WhatsApp Cloud API/Meta, Shopify, WooCommerce (where active), 17track, AI providers, Intercom, Zoho and other services.
Availability, API limits, template approvals and third-party costs also depend on those providers. Meta/WhatsApp costs may be included in the Kuba subscription per the current commercial offer.
7. Merchant responsibilities
- lawfulness of contact lists and legal bases towards end customers;
- privacy notices and marketing consents;
- message, broadcast and automation content;
- compliance with WhatsApp/Meta policies and opt-out;
- accuracy of connected ecommerce data;
- correct and supervised use of AI features.
8. WhatsApp, Meta and templates
Message templates require Meta approval. Kuba does not guarantee approval, deliverability, number quality or absence of Meta limitations or suspensions.
Meta may change rules, APIs and conditions at any time.
9. Acceptable use
You must not:
- send spam or unlawful communications;
- use content that infringes third-party rights;
- perform unauthorised scraping or API abuse;
- attempt to circumvent technical or billing limits;
- use the service fraudulently or harm security or reputation.
10. Data and privacy
Personal data processing is governed by our Privacy Policy (/en/legal/privacy-policy). For end customer data, Kuba may act as processor on behalf of the merchant.
The merchant must enter a data processing agreement (DPA) with Kuba where required.
11. Service availability
Kuba endeavours to keep the service available with reasonable care, without guaranteeing uninterrupted uptime.
Maintenance, downtime, third-party API limits (Meta, Shopify), errors or suspensions for security or violations may occur.
12. Support
Support via support@kubalabs.com, in-app tools and Intercom according to your plan.
Guided setup and onboarding may be included or paid per commercial offer.
13. Termination and cancellation
The merchant may request account cancellation. The backend uses soft delete with operation blocking and technical data retention up to 30 days unless legal obligations or disputes require longer retention.
Subscription cancellation does not waive amounts due for periods already used, except as required by mandatory consumer law.
14. Intellectual property
Kuba software, trademarks, interfaces, code, documentation and content remain Kuba property or that of licensors.
The merchant retains rights in its own Content and grants Kuba a limited licence to provide the Service.
15. Limitation of liability
Kuba does not guarantee specific economic results. Metrics, order attribution and analytics are decision-support tools.
To the extent permitted by Italian law, Kuba is not liable for indirect damages, loss of profit or lost revenue from Meta, Shopify or other third-party outages.
Kuba’s aggregate liability may be limited to amounts paid by the merchant in the 12 months before the damaging event, except for wilful misconduct, gross negligence or mandatory consumer rights.
16. Governing law and jurisdiction
These Terms are governed by Italian law.
Exclusive jurisdiction: Courts of Lucca, Italy, subject to mandatory consumer rules providing otherwise.
